1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and GuardCrow ("Service", "we", "us", or "our"), operated by SigmaJunction, governing your access to and use of our content moderation service, including our website, API, dashboard, and any related services.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

GuardCrow is an AI-powered content moderation API service that analyzes text content for toxicity, sentiment, and other characteristics. The Service provides:

• Real-time content analysis via REST API
• Toxicity scoring and sentiment analysis
• Customizable moderation thresholds
• Dashboard for analytics and project management
• API key management and usage monitoring

3. Account Registration

To use the Service, you must create an account by providing a valid email address. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account and API keys
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Not share your API keys with unauthorized third parties

You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to reverse engineer, decompile, or extract the AI models or algorithms
• Use the Service to develop competing products or services
• Circumvent or attempt to circumvent rate limits or other usage restrictions
• Share API keys or allow unauthorized access to your account
• Use the Service to process content that you do not have the right to analyze
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service to train competing AI models without explicit permission
• Misrepresent the source or ownership of content analyzed through the Service

5. API Usage and Rate Limits

Your use of the API is subject to rate limits and usage quotas based on your subscription plan:

• Starter Plan: 1,000 API requests per month
• Pro Plan: 50,000 API requests per month
• Enterprise Plan: Custom limits as agreed

Exceeding your rate limits may result in temporary throttling or suspension of API access. We reserve the right to modify rate limits with reasonable notice.

6. Pricing and Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay all fees associated with your chosen plan
• Provide accurate billing information
• Authorize us to charge your payment method on a recurring basis

Fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify pricing with 30 days' notice to existing customers.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by SigmaJunction and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you submit through the Service. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

8. Service Availability and SLA

We strive to maintain high availability of the Service. For Enterprise customers, we offer a Service Level Agreement (SLA) with 99.99% uptime guarantee. However, we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF THE SERVICE
• WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS

The AI-powered analysis provided by the Service is intended to assist with content moderation but should not be the sole basis for critical decisions. You acknowledge that AI analysis may produce false positives or false negatives.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CONTENTSHIELD AI, ITS OPERATORS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content or data

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless GuardCrow, its operators, officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your dashboard. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting on our website and/or sending an email notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GuardCrow operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GuardCrow regarding the Service and supersede all prior agreements and understandings, whether written or oral, regarding the Service.
